Persistent Negotiation Tips

Erasmus said persistence in accomplishing something is more virtuous than just starting something. This book is Erasmian in that sense, in its insistence that in a business deal "You must actually negotiate." (p.10). This is what Freund sets out to model for us. The deals he uses as examples are very big, as befits a partner with Skadden, Arps, but the principles he lays down are good all the way down to the smallest deal of the kind that occupies most of small-business legal work, too.
One of the lessons that stays with me most clearly is Freund's advice on the use of forms in transactions. Beware the end-point form from the last similar deal, he says, since it may reflect significant concessions, compromises, or omissions of things you may need which were back in the starting point document, but now gone. The character defect exemplified by the use of the most recent form from the last similar transaction is the "simpl[e] refus[al] to think through the differences in the two deals." (p.141).
The last chapter on role-playing set to a Greek-tragedy style of script is not easy to read, but I like the character names (e.g.,"Sagacity," "Pistol").
Chapter One on "Negotiating Techniques and Tactics" is excellent. Next to Freund's admonition that "If you have a client who is a poor negotiator and tends to give away the store, you should try, in gentle but firm fashion, to keep him out of the negotiating room," (p. 43) I have written the name of the client and the deal where I wish I had been able to do that more effectively.
He attacks the same "laziness of mind" that afflicts the parties to the deal, when they think they have arrived at true terms, when they have only assembled fragments. "Can't businessmen negotiate these matters on their own? The answer, in most cases, is no." (p. 50). This is still good advice 25 years after it was written, and is what I remind my clients who believe what they see in the press about "we did the deal over the weekend" when the same SEC disclosures of these alleged "weekend" deals run for hundreds of pages, and reflect months of work. A glance at Bruce Wasserstein's Book, "Big Deal," reinforces this, in its focus on how law firms navigate the archipelago of federal regulatory agencies for most big merger deals.
Non-lawyers may not like this book as much as I do.

Best Book on Negotiating Mergers & Acquisitions (M&A)

I am an attorney with a backround in mergers & acquisitions (M&A) and corporate and securities law. This book is the best overall introduction I have found related to mergers & acquisitions, especially as it relates to the negotiation and drafting of actual merger & acquisition agreements. It has comprehensive coverage of each of the various sections of a typical or standard M&A agreement and discusses the negotiating, drafting, and legal considerations from both sides of the transaction.

This is required reading for any mergers & acquisitions lawyer or investment banker involved in dealmaking. It is excellent and has withstood the test of time and is not out-of-date.

Doesn't get any better than this.

It is so good because Caples was in the mail order advertising business for forty-something years, and that's one of the few kinds of advertising that gets real feedback. Ads can be tested and the results can be compared. So Caples gives you FACTS rather than opinions about what works in advertising.
The book is very informative and also very interesting because Caples will show you two examples of ads he ran as a split-run and says "one sold three times more than the other; can you guess which one?" Then he'll tell you, and tell you WHY.
Not only that, but the book is extremely readable. I'm the author of Self-Help Stuff That Works, and I'm an expert on putting the most useful information into a readable form, and this book is as good as it gets. As David Ogilvy says in the introduction, "This is, without a doubt, the most USEFUL book about advertising that I have ever read." No more endorsement than that is needed!

Excellent - Best book on advertising and copywriting ever!

I have read this book twice cover to cover and refer to it almost everyday. If I could have given this book 6 stars I would have done it without reservation.
I have ordered and read at least 4 different books on copywriting and advertising in the last year. Most of the books have good ideas, but none of them describe the methods of writing headlines the way Caples does. He spends 4 chapters on it and let me tell you when he is finished you will know it cold! Personally that would have been enough to sell me on the book, but he doesn't stop there. He talks about scientific advertising to make sure you are writing ads that sell and not waste money. In addition, he talks through how to write the first paragraph and how to structure the copy. Finally, he spends time to talking about how to improve the selling power of copy.
Since I have read this book my ability to write copy has reached a whole new level. If you are in this field or responsible for writing copy I would advise you that this is a book you MUST own.

If You Want 5 Star Content, This Book is The One!

There's a reason why David Olgilvy calls this the most useful advertsing book he's ever read! I hold a Ph.D in Sales/Marketing and they simply DO NOT teach this money producing stuff enough at our colleges and universities! Instead, most of them opt for creative mush that's clever and makes for good awards and 5 minute speeches....but doesn't sell anything! If you want simple, brass tacks, powerful advertising advice, this book will be the most delapidated marketing resource in your library!
Is you're serious, RUN, don't walk to the checkout and pickup this incredible book. You'll pay guys like Dan Kennedy hundreds and even thousands of dollars for this advice...but it's all right here! Good stuff!

This was a good story. I liked how they met a few years later, it was sweet and funny. Charlie is a smart and beautiful, of course Conner wanted her. In all of Lietha Wards books the men are aggressive and confident and Conner is definitely that. My only wish is that Charlie had more worldly experience, last, the title was misleading, there was never an innuendo that Charlie was Conner's mistress. I wish that LW's books had better endings, like 5 years down the road kind of epilogue, not just months.

Useless for everyday words

Bought this for my elementary school children for homework help. Why would a children's dictionary begin each section anywhere but at the beginning? For example: The section with letter "c" begins with the word "calamity, calculate, calculaion", etc. What happened to words that begin with letter before the letter "L"? Take a look at letter "t" and you'll find the first entry is "take" --- not sure why they would omit words beginning with letters before "k" but this is what happened throughout the book. Out of the 12,000 synonyms and 10,000 antonyms offered, 75% of the words my kids needed to look up were not even in the book. As for antonyms, unless you need the oddball words that are included in this paperback, you won't find much help here at all. I give it two stars only because it is colorful and there is a useful brief section in the back with Parts of Speech which is helpful if your kid needs to be reminded of the differences between pronouns, adverbs, prepositions, etc.
In general, I think Scholastic is better for fiction and non-fiction books, not for reference guides. I will stick with Webster or Roget next time.
